Terms of Service

1. Agreement
These Terms of Service (the “Terms”) govern access to and use of the CementOps Reliability service (the “Service”), operated by CementOps AI LLC (“CementOps,” “we,” “us”). By accessing the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “Customer” refers to that organization. If a separate written agreement between CementOps and Customer covers the Service, that agreement controls where it conflicts with these Terms.
2. The Service
CementOps Reliability is a maintenance troubleshooting workspace for cement plants: auditable maintenance cases and evidence, a tenant-private Plant Registry of facts and documents, and an AI-assisted Maintenance Copilot. Access is provisioned by CementOps or an authorized administrator; the Service does not offer self-service registration. Each account is scoped to the plants and roles assigned to it, and access is re-checked against current membership on every protected request.
3. Accounts
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at jlarkin@cementops.ai of any unauthorized use. CementOps may suspend accounts that present a security risk to the Service or to other customers.
4. Customer Data
Customer owns the data it submits to the Service — maintenance cases, evidence, observations, plant facts, uploaded documents, and copilot conversations (“Customer Data”). Customer grants CementOps a limited license to host and process Customer Data solely to provide, secure, and support the Service. Customer Data is isolated to Customer’s tenant, and revision and audit history recorded by the Service exists to protect the integrity of Customer’s own maintenance record. Customer is responsible for having the rights to the data and documents it uploads.
5. AI-assisted output
The Maintenance Copilot and the Service’s analyses are advisory decision support. They do not approve analyses, confirm root causes, authorize work, or replace site procedures, engineering review, or qualified personnel — and nothing in the Service should ever be read as permission to bypass isolation, guarding, interlocks, lockout/tagout, or other safety requirements. AI-generated content can be incomplete or wrong. Customer is solely responsible for verifying outputs against its own plant conditions and procedures, and for every operational and safety decision made in its facilities.
6. Acceptable use
You agree not to: (a) use the Service in violation of law; (b) attempt to access another customer’s data or circumvent access controls, isolation boundaries, or audit mechanisms; (c) probe, overload, or disrupt the Service; (d) reverse engineer or copy the Service or its knowledge base except as permitted by law; (e) upload malicious code or content you lack rights to; or (f) resell or provide the Service to third parties without a written partnership agreement with CementOps.
7. Confidentiality
Each party will protect the other’s non-public information with at least the care it uses for its own confidential information, and will use it only as needed to perform under these Terms. Customer Data is Customer’s confidential information; the Service’s software, prompts, and non-public documentation are CementOps’s confidential information.
8. Third-party services
The Service runs on third-party infrastructure and AI model providers acting as subprocessors, listed in the Privacy Policy. AI requests are processed with zero-data-retention instructions and are never used to train models.
9. Fees
Fees, if any, are set out in the applicable order form or service agreement between CementOps and Customer. Trial or pilot access may be modified or withdrawn at any time.
10. Intellectual property
CementOps owns the Service, including its software, design, prompts, and the shared CementOps knowledge base. No rights are granted except as stated in these Terms. If you send us feedback, we may use it without obligation, provided doing so does not disclose Customer Data.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEMENTOPS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CEMENTOPS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-ASSISTED OUTPUT WILL BE ACCURATE OR COMPLETE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. CEMENTOPS’S TOTAL LIABILITY ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNTS CUSTOMER PAID FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS IF NO FEES WERE PAID. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW.
13. Term and termination
Either party may terminate for material breach that remains uncured thirty days after written notice, and Customer may stop using the Service at any time. On termination, CementOps will, on written request within thirty days, provide an export of Customer Data in a reasonable format and then delete it from active systems within a commercially reasonable period, except where retention is required by law.
14. Changes
We may update these Terms by posting a revised version with a new “Last updated” date. Material changes will be notified to active customers. Continued use after the effective date constitutes acceptance.
15. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located in California, except where a signed agreement between the parties specifies otherwise.
